ABI Industry Directory Participation Agreement

 

Effective Date: May 4, 2026

1. Acceptance of terms

 

By submitting an application for listing in the ABI Industry Directory (“Directory”), the applicant (“Applicant” or “Listed Entity”) agrees to be legally bound by this Directory Participation Agreement (“Agreement”). If the Applicant does not agree, they must not apply for or maintain a listing. ABI may update this Agreement at any time. Continued participation in the Directory constitutes acceptance of revised terms.

2. Purpose and Neutrality

The Directory is an informational visibility platform designed to support transparency and connectivity within the biochar ecosystem. ABI acts solely as a neutral convenor and publisher of submitted information. Inclusion in the Directory does not constitute: Endorsement, Certification, Approval, Recommendation, Validation, or Sponsorship. Listed Entities may not state, imply, or suggest that ABI endorses, certifies, approves, or validates their products, services, claims, or business practices.

3. Application and Review Process

Applicants must complete the required application form and submit applicable fees. ABI may conduct a limited administrative review of submitted materials solely to determine general eligibility and completeness. Such review does not constitute due diligence, investigation, validation, or endorsement. ABI retains sole discretion to approve or deny any application.

4. Eligibility Requirements

Applicants must:

  • Be legally registered and in good standing in their jurisdiction.

  • Have operated for at least six (6) months.

  • Operate within or directly support the biochar value chain.

  • Provide complete and accurate information.

  • Remain compliant with applicable laws and regulations.

  • Agree to this Agreement.

ABI retains sole discretion regarding eligibility determinations.

5. Accuracy and Responsibility

The Listed Entity is solely responsible for:

  • The accuracy of submitted information
  • Updating information in a timely manner
  • Avoiding false or misleading descriptions
  • Substantiating environmental, carbon, or performance claims

Listed Entities may request reasonable edits or updates to their listing during the listing term. ABI reserves the right to approve formatting and final presentation for consistency. The Listed Entity agrees to promptly notify ABI if it ceases operations, dissolves, significantly changes its operations, or is no longer in business.

ABI:

  • Does not independently verify claims
  • Does not audit certifications
  • Does not confirm regulatory compliance

ABI may request clarification or correction of information at its discretion.

6. Ethical Representation

Listed Entities agree:

  • Not to make false, misleading, or unsubstantiated claims
  • Not to misrepresent business performance
  • Not to imply ABI validation or endorsement
  • Not to misuse ABI’s name, logo, or branding

Violation may result in suspension or removal.

7. Fees, Billing, and Renewal

  • Term: Listings are valid for one (1) year from the date of approval.

  • Payment: The annual listing fee is $150 USD.

    • Payment must be received prior to publication.
    • Fees are non-refundable once a listing is approved and published.
    • If an application is not approved, payment will be refunded minus payment processing fees.
    • Discounts must be documented at the time of application.

  • Renewal: Reminders will be sent approximately 30 days prior to expiration. Failure to renew results in automatic deactivation. ABI is not responsible for failed delivery of renewal notices. 

8. Suspension, Removal, or Denial

ABI may deny, suspend, or remove a listing at its sole discretion, including but not limited to:

  • Non-payment
  • False or misleading information
  • Misuse of ABI’s name or logo
  • Legal violations
  • Conduct that poses reputational risk to ABI
  • Inactivity

Removal does not entitle the Listed Entity to a refund.

9. Limitation of Liability

To the fullest extent permitted by law, ABI shall not be liable for:

  • Business losses
  • Lost profits
  • Regulatory penalties
  • Contract disputes
  • Reputational harm
  • Indirect, incidental, or consequential damages

Arising from or related to participation in the Directory.

If liability is found notwithstanding the above limitations, ABI’s total liability shall not exceed the total listing fees paid by the Listed Entity in the twelve (12) months preceding the claim.

10. Indemnification

Listed Entities agree to indemnify, defend, and hold harmless ABI and its directors, officers, employees, and contractors from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from submitted content. This obligation survives termination of participation.

11. Content License

Listed Entities retain ownership of submitted materials. By submitting content, the Listed Entity grants ABI a non-exclusive, royalty-free, worldwide license to display, publish, format, and promote such content solely in connection with the Directory. ABI may resize or format content for consistency.

12. Use of ABI Name and Logo

Directory inclusion does not grant the right to use ABI’s name, logo, or branding.

13. Privacy

Information submitted may be used for:

  • Directory publication
  • Administrative communication
  • Renewal reminders

ABI does not sell participant data. Aggregate, non-identifiable data may be used for reporting and program evaluation. Applicants are responsible for ensuring they have the right to publish submitted contact information.

14. Disclaimer of Warranties

The Directory is provided “as is” and “as available.” ABI makes no warranties, express or implied, regarding accuracy, reliability, fitness for purpose, or availability.

15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon.

16. Entire Agreement

This Agreement constitutes the entire agreement between ABI and the Listed Entity regarding Directory participation and supersedes any prior understandings.

17. Acknowledgment

By submitting an application, the Applicant confirms that they: 

  • Have read this Agreement
  • Understand this Agreement
  • Agree to be legally bound
